Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Soragai platform, available at sorag.ai (“Service”), operated by Soragai (“Soragai”, “we”, “us”, “our”). The legal entity operating this Service is a sole trader registered in Romania. Full legal entity details are available upon request at hello@sorag.ai.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@sorag.ai if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that provide false information or that violate these Terms.

4. The Service

Soragai is a platform that enables users to generate AI-produced video and image content (“Generated Content”) by submitting text prompts and, where supported, reference images (“Input”). Generation is performed through third-party AI model providers including Kuaishou (Kling), ByteDance (Seedance), OpenAI (Sora 2), and Google (Nano Banana Pro), accessed via PiAPI. We do not operate the underlying AI models.

5. Credits and Subscriptions

5.1 Credit System

Access to generation features requires credits. Credits may be obtained through a monthly subscription or purchased as one-time credit packs. Subscription credits reset each billing cycle and do not carry over. Credit pack credits do not expire.

Subscription credits are deducted first. Credit pack credits are deducted only after subscription credits are exhausted.

5.2 Free Credits

Upon registration, you receive 15 complimentary credits. These are provided at our discretion and may be withdrawn or modified at any time.

5.3 Subscription Plans

Subscriptions renew automatically on a monthly basis. You may cancel at any time. Cancellation takes effect at the end of the current billing period; you retain access and credits until then. We do not prorate unused time.

5.4 Credit Packs

Credit packs are one-time purchases. They do not expire and are not tied to a subscription.

5.5 Pricing

All prices are in EUR and inclusive of any applicable taxes unless otherwise stated. We reserve the right to change pricing with 30 days’ notice. Continued use after a price change constitutes acceptance of the new pricing.

6. Refund Policy

Subscription fees are refundable within 14 days of the initial purchase, provided you have not used any credits during that period. After 14 days, or if any credits have been used, no refund will be issued for subscription fees.

Credit pack purchases are non-refundable once purchased.

7. Intellectual Property — Generated Content

7.1 Your Input

You retain all rights you hold in the prompts and reference images you submit as Input. By submitting Input, you grant us a limited, non-exclusive licence to process it solely for the purpose of providing the Service.

7.2 Generated Content Ownership

As between you and Soragai, you own the Generated Content produced from your Input, to the extent permitted by applicable law and subject to the restrictions in these Terms and the terms of the underlying model providers.

7.3 Licence to Soragai

By using the Service, you grant Soragai a worldwide, non-exclusive, royalty-free, sublicensable licence to use, store, reproduce, and display your Generated Content for the following purposes only:

  • Operating and improving the Service
  • Training or improving AI models used within the Service
  • Promoting or marketing the Service (including use in advertisements, website content, and social media)

If you do not wish your Generated Content to be used for promotional purposes, contact us at hello@sorag.ai and we will honour your request on a reasonable basis.

7.4 Upstream Model Restrictions

Generated Content is subject to the terms of the underlying model providers. In particular:

  • Sora 2 / Sora 2 Pro (OpenAI): You may not use outputs to develop AI models that compete with OpenAI’s products or services.
  • Kling V3 Pro (Kuaishou): Kuaishou retains a worldwide, royalty-free licence to use generated content for service improvement purposes. Commercial use is permitted on paid plans.
  • Seedance 2.0 (ByteDance): ByteDance’s Seedance 2.0 is subject to ongoing copyright litigation from major entertainment studios. Generated content may carry elevated third-party intellectual property risk. You assume full responsibility for any legal risks arising from use of Seedance-generated content.
  • Nano Banana Pro (Google/Gemini): Commercial use is permitted. All generated images carry an invisible SynthID digital watermark.

7.5 No Copyright Guarantee

We make no representation that Generated Content is free from third-party intellectual property rights. AI models may produce outputs that resemble existing copyrighted works. You are solely responsible for verifying that your use of Generated Content does not infringe third-party rights.

7.6 AI-Generated Content Disclaimer

AI-generated content is not the product of human authorship. Under current EU and Romanian law, fully autonomous AI-generated outputs may not qualify for copyright protection. We make no warranties regarding the copyrightability of Generated Content.

8. Acceptable Use

You agree not to use the Service to:

  • Generate content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Generate content depicting or sexualising minors in any way
  • Generate realistic depictions of identifiable real persons without their consent
  • Generate content that infringes third-party intellectual property rights
  • Generate misleading, deceptive, or fraudulent content, including non-consensual deepfakes
  • Attempt to circumvent or reverse-engineer the Service or its underlying models
  • Resell or redistribute access to the Service without our written consent
  • Use the Service in any way that violates applicable law

We reserve the right to remove content and suspend or terminate accounts that violate these rules.

9. Third-Party Services

The Service integrates with Stripe for payment processing, Brevo for transactional email, PiAPI for AI model access, and Plausible for privacy-respecting analytics. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the acts or omissions of third-party service providers.

10. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. The Service may be unavailable due to maintenance, technical issues, or circumstances beyond our control. We are not liable for any loss arising from service interruptions.

We reserve the right to modify, suspend, or discontinue the Service or any feature at any time with reasonable notice where practicable.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant the accuracy, quality, or appropriateness of Generated Content for any particular use.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Soragai’s total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence or for fraud.

13. Indemnification

You agree to indemnify and hold harmless Soragai, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your Generated Content; © your breach of these Terms; or (d) your violation of any third-party rights.

14. Governing Law and Disputes

These Terms are governed by the laws of Romania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

If you are a consumer based in the EU, you may also have access to the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service and cancel your subscription before the effective date.
